Jolie Retail Partner Terms and Conditions

These Retail Partner Terms & Conditions ("Agreement") govern participation in the Jolie Retail Partner Program and all purchases, consignments, transactions, and business relationships between Jolie Beverage Company and the Retail Partner.
1. PROGRAM PURPOSE
The Jolie Retail Partner Program allows qualified businesses and organizations to purchase, distribute, display, sample, and resell Jolie products through approved channels.
2. ELIGIBILITY
Retail Partners must operate a legitimate business, provide accurate information, maintain required licenses and comply with applicable laws.
3. ACCOUNT APPROVAL
Jolie may approve, deny, suspend, or terminate participation at its sole discretion.

A. Traditional Wholesale Accounts
B. Consignment Accounts
5. CONSIGNMENT TERMS
Jolie retains ownership of consigned inventory until sold to end consumers. Retail Partners must properly store, display, report, and safeguard inventory. Jolie may retrieve inventory upon reasonable notice.
6. CONVERSION TO WHOLESALE
Consignment accounts may be converted to traditional wholesale accounts based on performance, history, and business considerations.
7. ORDERS
All orders are subject to acceptance and inventory availability.
8. PRICING
Pricing is confidential and subject to change.
9. PAYMENT TERMS
Prepayment is standard unless Net 30 terms are approved.
10. LATE PAYMENTS
Past due balances may incur interest, collection costs, attorney fees, and court costs.
11. SHIPPING AND DELIVERY
Delivery estimates are not guaranteed.
12. INSPECTION OF GOODS
Claims for shortages or damages must be reported within five business days.
13. RETURNS
Food and beverage sales are generally final unless otherwise authorized.
14. PRODUCT HANDLING
Retail Partners must properly store, rotate, and maintain product quality.
15. MARKETPLACE RESTRICTIONS
No sales through Amazon, Walmart Marketplace, TikTok Shop, eBay, Etsy, Facebook Marketplace, or other third-party marketplaces without written approval.
16. PRODUCT DIVERSION
No unauthorized resale to distributors, wholesalers, exporters, or unauthorized sellers.
17. INTELLECTUAL PROPERTY
All Jolie intellectual property remains exclusively owned by Jolie.
18. MARKETING CLAIMS
No unauthorized medical, disease, treatment, cure, or FDA-related claims.
19. COMPLIANCE WITH LAW
Retail Partners must comply with all applicable laws.
20. INSURANCE
Jolie may require proof of insurance for certain account types.
21. TERMINATION
Jolie may terminate accounts for breach, non-payment, diversion, unauthorized marketplace sales, or brand-damaging conduct.
22. LIMITATION OF LIABILITY
Liability is limited to amounts paid by Retail Partner during the preceding 12 months.
23. INDEMNIFICATION
Retail Partner agrees to indemnify Jolie from claims arising from Partner operations or violations.
24. DISPUTE RESOLUTION
Good-faith negotiation followed by binding AAA arbitration in Broward County, Florida.
25. CLASS ACTION WAIVER
Claims must be brought individually.
26. GOVERNING LAW
Florida law governs this Agreement.
27. FORCE MAJEURE
Jolie is not liable for delays beyond its reasonable control.
28. ASSIGNMENT
Assignment requires Jolie's consent.
29. SEVERABILITY
Invalid provisions do not affect remaining provisions.
30. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement regarding the Retail Partner relationship.
